SUMMARY:

SUMMARY

The Corporate Services Business Analyst provides business support to the Office of the Corporate Secretary, which includes the VP, Corporate Secretary & Chief of Staff and the Assistant Corporate Secretary. The position's responsibilities include drafting and assisting with the preparation of meeting materials, minutes, the annual proxy statement and other governance documents. The position also works with the Company's third-part transfer agent and participates in the administration of the Company's equity incentive plan and Employee Stock Purchase Plan (ESPP). This position is located in San Jose, California.

ESSENTIAL FUNCTIONS
  • Provides direct support to the Vice President, Corporate Secretary & Chief of Staff and the Assistant Corporate Secretary for duties as assigned
  • Supports the Board and committees of the Board
  • Provides staff support for the EBFC committee, including preparation of meeting materials
  • Assists the Corporate Secretary and Assistant Corporate Secretary with implementation of all Board-approved policies and resolutions
  • Designs and assists in the preparation of Board and committee meeting materials
  • Maintains records of essential activities including bylaws, minutes, policies, resolutions, and other governing documents
  • Assists with researching governance matters and preparing related presentation materials as needed
  • Assists in overseeing subsidiary compliance with state and federal regulations relating to corporate existence
  • Conducts regular operations updates with the transfer agent related to shareholder inquiries, escheatment, quality control checks of the transfer agent call center, and other related matters
  • Coordinates stock plan activities with the Company's stock transfer agent
  • Administers awards under the Company's equity incentive plan, including interfacing with the stock transfer agent and the accounting department
  • Administer the ESPP, including manage quarterly open enrollment, monthly share purchases, develop and disseminate plan education materials and communications, support quarterly and year-end reconciliations and reporting
  • Other functions as assigned by the Corporate Secretary and Assistant Corporate Secretary


MINIMUM QUALIFICATIONS
  • Bachelor's degree in Accounting, Business, or Finance, or related field and/or equivalent relevant experience
  • Four or more years of increasingly responsible experience post-graduation working in accounting, corporate governance, or finance
  • Excellent Microsoft Office applications and desktop publishing skills
  • Valid California Driver License


REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES:
  • Working knowledge of stock administration, including grants, share accounting, reconciliation, and transfers
  • Excellent knowledge of Microsoft Office applications to create presentations, spreadsheet, and Word documents
  • Experience using equity platforms
  • Knowledge of and ability to comply with various SEC/NYSE requirements regarding stock administration and accounting
  • Detail-oriented and experienced in analyzing and improving processes
  • Ability to interpret and apply business and governmental laws and regulations
  • Ability to communicate effectively, both verbally and in writing, with all levels of management and employees
  • Ability to work effectively with agencies, customers, employees, and vendors
  • Ability to maintain cooperative working relationships with those encountered in the course of conducting business
  • Demonstrated organizational and time management skills
  • Demonstrated problem solving and troubleshooting skills
  • Demonstrated project management skills
  • Flexible and able to prioritize work
  • Strong writing skills
  • Basic knowledge of corporate governance


Salary Range: $96,500 - $179,200
